Terms of Service

These terms govern your use of WabaCRM, operated by Tirgiji Tech Solutions Private Limited (“we”, “us”). By creating a workspace or using the service you agree to them. If you are agreeing on behalf of a company, you confirm you are authorised to bind it.

1. What WabaCRM is

WabaCRM is software for managing WhatsApp conversations, contacts and campaigns. It sits on top of the WhatsApp Business Cloud API, which is operated by Meta. We are a Meta Tech Provider: you connect your own WhatsApp Business Account, and Meta bills you directly for message fees. We do not resell Meta's messaging charges and we add no markup to them. What you pay us is for the software.

2. Your account

• You must give accurate registration details and keep them current.
• Registration requires a business email address.
• You are responsible for everything that happens under your workspace, including what your team members do.
• Keep your password to yourself. Tell us promptly if you think an account has been compromised.
• You must be at least 18.

3. What you may not do

You agree not to use WabaCRM to:

• Send messages to people who have not given you a lawful basis to contact them.
• Ignore an opt-out. A contact who replies STOP must not be messaged again, and the service will refuse to.
• Send spam, scams, phishing, malware, or anything unlawful, deceptive, harassing or hateful.
• Breach the WhatsApp Business Messaging Policy, Meta's Platform Terms, or any law that applies to you — including telecoms, marketing and data protection law.
• Resell, sublicense or white-label the service without our written agreement.
• Reverse engineer it, or probe or attack its security.
• Overload it, whether by automation or volume, beyond what your plan reasonably covers.

Consent is your responsibility. You decide who to message and on what basis. We give you the tools to record consent and honour opt-outs, but we are not the sender and cannot verify your basis for contacting anyone.

4. Your WhatsApp Business Account

• You connect your own WhatsApp Business Account and phone number, and you remain its owner throughout.
• Meta may restrict, suspend or ban a number for quality or policy reasons. That decision is Meta's, not ours, and we cannot reverse it.
• You attach your own payment method to your WhatsApp Business Account and pay Meta directly for message fees.
• Message templates are approved by Meta. We can submit them; we cannot make Meta approve them.
• You may disconnect your number at any time, and take it to another provider.

5. Fees

• Every workspace starts on a free plan covering up to 1,000 contacts. It does not expire and needs no card.
• Above that, pricing is ₹96 per 1,000 contacts per month. Allowances are sold in whole blocks.
• Fees are billed in advance and are stated exclusive of any tax we are required to charge.
• We may change pricing with at least 30 days' notice by email. If you do not accept a change you may close your workspace before it takes effect.
• Meta's message fees are separate, are set by Meta, and are billed to you by Meta.
• Optional add-on modules and AI credit packs are sold separately, at the price shown in the app when you buy them. A one-time add-on stays installed until you remove it; a monthly add-on runs for the period paid and does not renew or charge automatically.
• We send workspace owners messages about their own account — a welcome, help finishing setup, invoice and renewal notices, a note when the contact allowance fills up — by email and by WhatsApp to the number given at registration. Onboarding help can be paused from the link in any such message or from workspace settings. Offers and news are sent only with the marketing consent given at registration or in settings, and can be withdrawn at any time.

Our commitment on the free plan

We will not reduce the free contact allowance of a workspace that is already using it. If we change the free plan we offer to new customers, every workspace already on the free plan on the date of that change keeps the allowance it held at that date — currently 1,000 contacts — for as long as that workspace remains active and in good standing under these terms. This is a commitment you can hold us to, not a marketing statement.

For clarity, it does not prevent us from changing the free plan offered to new customers, from suspending or closing a workspace under section 8, or from withdrawing the service altogether, in which case we will give notice as described in section 7. It does mean that an existing free workspace will not have its allowance cut because we changed our minds about the offer.

Non-payment

If payment fails we allow a grace period of 3 days before a workspace is suspended. A suspended workspace keeps its data and can still reach billing and support, so you always have a way back. We do not delete data for non-payment without notice.

6. Your data

• Your contacts, conversations and settings remain yours. We claim no ownership of them.
• We process them to run the service and on your instructions, as set out in our Privacy Policy.
• You can export your contacts and your message history to CSV, or retrieve them through our API, at any time and on any plan — including the free plan. We will not withhold or degrade export to make leaving harder, and we will not put it behind a paid tier.
• When you close a workspace we delete its data as described in the Privacy Policy.

7. Availability

We aim to keep WabaCRM available and will give notice of planned maintenance where we reasonably can. We do not promise uninterrupted service, and we depend on Meta's platform, which we do not control. An outage at Meta is not a failure of these terms.

8. Suspension and termination

• You may stop using the service and close your workspace at any time.
• We may suspend or terminate a workspace that breaches these terms, that puts the service or other customers at risk, or that we are required to act against by law.
• Where the circumstances allow it, we will warn you first and give you a chance to put the problem right.
• On termination your right to use the service ends; the sections that by their nature should survive — fees owed, liability, governing law — continue to apply.

9. Warranties

The service is provided “as is”. To the extent the law allows, we exclude implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be error-free, or that messages will always be delivered — delivery depends on Meta, on the recipient's network, and on the recipient's own settings.

10. Liability

To the extent the law allows, neither party is liable for indirect or consequential loss, loss of profit, revenue, goodwill or data. Our total liability arising out of or in connection with these terms is limited to the fees you paid us in the twelve months before the event giving rise to the claim.

Nothing here limits liability that cannot lawfully be limited, including for fraud or for death or personal injury caused by negligence.

11. Indemnity

You will indemnify us against claims arising from your use of the service in breach of these terms — in particular claims brought by people you messaged without a lawful basis, and claims that your content infringed someone's rights.

12. Changes to these terms

We may update these terms. We will post the change here and update the effective date, and for material changes we will email workspace owners beforehand. Continuing to use the service after a change takes effect means you accept it.

13. Governing law

These terms are governed by the laws of India, and the parties submit to the exclusive jurisdiction of the courts of Lucknow, Uttar Pradesh, India.
